1. Agreement & Corporate Identity
These Terms of Service ("Terms") constitute a legally binding agreement between you and Octoprime Pty Ltd ("we", "us", "our", trading as "Octoprime Studio"), a registered Australian company with its registered office located at 33 Felstead Drive, Truganina VIC 3029, Australia. By accessing, browsing, or using our website (https://octoprimepty.store) and purchasing any of our digital products, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use our website or purchase our products.
2. Digital Products and Delivery
All products sold on https://octoprimepty.store are digital downloads (e.g., PDF files, ZIP archives, Notion templates, text prompts). We do not ship physical goods. Upon successful payment verification by our payment processor (Stripe), an automated email containing your download instructions will be sent immediately to the email address provided during checkout. You are responsible for ensuring the email address provided is accurate. 3. License and Permitted Use
Upon purchase, Octoprime Pty Ltd grants you a personal, non-exclusive, non-transferable, and revocable license to access and use the purchased digital materials for your own personal or internal business purposes. You are expressly prohibited from: (a) reselling, sublicensing, distributing, or publicly sharing the raw prompt or template files; (b) using the materials to create a directly competing commercial product or service; or (c) modifying the materials for public redistribution. Any unauthorized reproduction or distribution is strictly prohibited.
4. Payments, Pricing, and Security
All payments are securely processed through Stripe on behalf of Octoprime Pty Ltd. We do not directly collect, process, or store your credit card information. Prices, available currencies, and product offerings are displayed at checkout. You represent and warrant that you have the legal right to use any credit card(s) or payment method(s) utilized in connection with any purchase on our platform.
5. Intellectual Property Rights
The website, its original content, branding (including the Octoprime Studio and Octoprime Pty Ltd names, logos, and designs), editorial content, and all digital product materials are the exclusive property of Octoprime Pty Ltd and its licensors, protected by international copyright, trademark, and intellectual property laws.
6. Limitation of Liability and Disclaimers
Our digital materials are provided 'AS IS' without warranties of any kind, whether express or implied, except as provided by non-excludable provisions of the Australian Consumer Law. The prompt packs and templates are meant as starting points and general frameworks; they do not guarantee specific financial, legal, or commercial outcomes. To the maximum extent permitted by applicable law, in no event shall Octoprime Pty Ltd, its directors, employees, or affiliates be liable for indirect, incidental, or consequential damages.
7. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws in force in the State of Victoria, Australia, without regard to its conflict of law provisions. The parties irrevocably submit to the non-exclusive jurisdiction of the courts of Victoria, Australia, and courts of appeal from them, in respect of all matters arising out of or in connection with these Terms.
8. Modifications to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
